The Finance Associate Attorney will handle a variety of commercial law matters, including drafting complex commercial contracts, managing financial transactions, and providing legal opinions. This role requires expertise in structured finance transactions and the ability to oversee junior associates. Duties:Draft complex commercial contracts, including pooling and servicing agreements, administration agreements, indentures, and trust agreementsProvide legal opinions, including bankruptcy opinionsManage financial transactions, overseeing the work of junior associatesDraft and prepare transaction documentsSuccessfully close transactions in accordance with client needs and deadlinesStay updated on developments in commercial law, including the uniform commercial code, securities law, and bankruptcy-related issues Requirements:4+ years of experience working on structured finance transactions, including securitization and other capital markets transactionsAdmission to and membership in good standing of the California BarKnowledgeable about commercial law matters, including the uniform commercial code, securities law, and bankruptcy-related issuesStrong drafting and analytical skillsAbility to manage multiple tasks and work effectively under pressure Education:JD degree from an accredited law school Certifications:Admission to and membership in good standing of the California Bar Skills:Proficiency in drafting complex legal documentsExperience managing financial transactionsStrong leadership and supervisory skillsExcellent communication and interpersonal abilitiesAttention to detail and accuracy in work product This California-based AmLaw100 firm is appealing for its professional culture, but relaxed and laid-back atmosphere.
